How this works

1. Source filings

Schedule 13D and 13G filings cover classic 5%+ beneficial-owner reports. The scanner also checks control-change and offering disclosures where preferred stock, conversions, recapitalizations, or pro forma voting power can reveal a 90%+ holder.

2. Threshold

Open a company card for the 13D reporting-person table, then the latest DEF 14A / 10-K beneficial-ownership table for directors, officers, and other 5%+ holders.

3. What this is not

Not Shell Discovery. Not a freeze-out recommendation. Always open the source filing and verify class, as-of date, denominator, closing/conversion conditions, and whether the stake includes preferred, warrants, options, or other convertible securities.
